Client Service Agreement

1. What This Agreement Covers

This agreement is between you (the client) and UpgradedWebsites.com, a service of FullyMarketable, operated by Dan Kalis. It covers your website upgrade, your hosting, and any optional ongoing services you choose.

We wrote this to be clear and readable, not to bury anything in fine print. If something is unclear, call or text Dan at 312.404.4393 and we will explain it in plain English.

2. Your Website Upgrade ($1,500)

What you are paying for:

Your $1,500 one-time fee covers a complete website upgrade, including:

• A fully redesigned and rebuilt homepage
• Up to 5 additional foundational pages (About, Services, Contact, etc.)
• SEO and AIO (AI Optimization) foundations built into every page
• Mobile-first responsive design
• Your existing logo, brand colors, photos, and content carried over
• Domain transfer and DNS setup
• 30 days of minor revision support after launch

What "minor revisions" means:

During the first 30 days after your site goes live, we will make small adjustments at no extra charge: fixing a typo, swapping a photo, adjusting a headline, correcting contact information, and similar changes. This does not include building new pages, adding new sections, or rewriting large portions of copy. Those are quoted separately.

What is not included:

• Content you do not provide (we work with what exists on your current site and what you send us)
• Domain registration fees (typically $10 to $20 per year, paid to your domain registrar)
• Third-party services (email hosting, video hosting, CRM integrations, etc.)
• Ongoing updates or changes after the 30-day revision window (available through our optional plans or per-request pricing)
• Custom functionality (booking systems, payment processing, member portals, e-commerce)

3. Free Hosting (Included With Every Upgrade)

After your site goes live, it stays live at no ongoing cost to you. We host it on our platform, connected to your domain. This includes:

• Hosting and uptime management
• SSL certificate and security
• Your custom domain connected

There is no monthly fee, no expiration, and no contract. Your site stays hosted for as long as you want it.

If you need a change after your 30-day revision window, you can request one at $50 per edit request, or upgrade to a monthly plan at any time.

4. Optional Monthly Plans

If you want ongoing updates, content creation, or SEO support, we offer four optional plans. Full details, pricing, and a plan comparison are available at upgradedwebsites.com/plans.

All monthly plans are month-to-month. No long-term contracts. You can upgrade, downgrade, or cancel at any time with 15 days notice.

If you cancel a paid plan, you return to free hosting. Your site stays live and nothing changes visually.

5. Edit Requests (If You Are Not on a Plan)

If you are on free hosting and need a change to your site, we handle it at $50 per edit request. An edit request is a single change: updating text on a page, swapping a photo, adding a testimonial, embedding a video, updating hours or pricing, and similar changes.

Larger work is priced separately:

• New section added to an existing page: $150
• New page build: quoted based on scope

We will always tell you the cost before we start any work. No surprises.

6. Update Day Rules (For Clients on Growth or Authority Plans)

If you subscribe to a Growth or Authority plan, your monthly update days work as follows:

Batching: Send all of your update requests for a given update day in a single email or text. We process everything you send in one session. There is no limit on the number of items per update day. One item or ten items, it all gets done.

Submission window: Requests received by 12pm CT, Monday through Friday, are processed within the turnaround window for your plan (48 hours for Growth, 24 hours for Authority). Requests received after 12pm or on weekends begin processing the next business day.

No rollover: Update days do not roll over from month to month. Unused days expire at the end of each billing cycle.

What counts as an update day: Publishing and formatting content you provide, text and image changes, adding testimonials, embedding videos, updating hours and pricing, adding team members, and similar changes.

What is quoted separately: Building an entirely new page, adding a new section that does not currently exist on the site, structural redesigns, and custom feature development. On the Authority plan, one new section or page build per quarter is included.

7. Content Submission Standards

To help us publish your content quickly and accurately, please follow these formatting guidelines when submitting materials:

• Blog posts: One post per document (.doc, .docx, .pdf, or .txt). Include the post title, full body text, author name, and preferred publish date.
• Photos: High-resolution originals (.jpg, .png, or .webp). Tell us which page and section they belong on.
• Videos: Upload to YouTube, Vimeo, or Wistia first, then send us the link and placement.
• Testimonials: Full quote, person's full name, and context (title, location, or relationship).
• Text changes: Which page and section, plus the exact new text or a description of what needs to change.

8. Ownership and Your Rights

You own your content. Every word of copy, every photo, every testimonial, and every piece of content on your site belongs to you.

You own the design. The custom design created for your site is yours. We do not reuse or resell it.

You can leave at any time. If you want to take over hosting, we transfer a complete copy of your site to your own Lovable Pro account for a one-time $150 transition fee. You then manage it yourself on Lovable Pro ($25/month paid directly to Lovable).

You can move to another platform. Your site is built with clean, exportable code (React). It can be exported through GitHub and converted to WordPress or deployed on any other platform. We can handle the migration as a one-time project (quoted based on complexity), or you can work with any developer you choose.

You are never locked in. No long-term contracts, no penalties for leaving, no proprietary systems that hold your site hostage.

9. What We Are Responsible For

• Keeping your site live, fast, and secure on our hosting platform
• Responding to edit requests and update day submissions within the turnaround window for your plan
• Maintaining the technical infrastructure (SSL, uptime, security updates)
• Delivering work that matches the quality and standards of the original upgrade
• Being honest and transparent about what something will cost before we do it

10. What We Are Not Responsible For

• Content you do not provide or approve (we publish what you send us)
• Results from SEO or marketing efforts (we build the foundation, but search rankings depend on many factors outside our control)
• Third-party service outages (domain registrars, email providers, video hosting platforms, etc.)
• Revenue, lead, or conversion outcomes (we build high-quality sites, but we cannot guarantee specific business results)
• Delays caused by waiting for content, approvals, or access from you

11. Payment Terms

• The $1,500 website upgrade fee is due upon claiming your site. Payment is accepted via invoice.
• Monthly plan fees are billed on the same date each month, beginning on the date you subscribe.
• Edit requests ($50 per request) and quoted projects are invoiced upon completion.
• All sales are final. Because you see the finished homepage before you pay anything, there are no refunds on the initial upgrade fee.

12. Cancellation

Free hosting: No cancellation needed. Your site stays live indefinitely at no cost.

Monthly plans: Cancel anytime with 15 days written notice (email or text). Your plan remains active through the end of your current billing cycle. After cancellation, you return to free hosting and your site stays live.

Full departure: If you want to leave entirely, we transfer your site to your own Lovable account ($150 one-time fee) or export the code for migration to another platform. You never lose your website.

13. Changes to This Agreement

We may update this agreement from time to time. If we make changes that affect your rights or costs, we will notify you by email before they take effect. The current version is always available at upgradedwebsites.com/agreement.
